Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Lordhill Digital LLC, a Wyoming limited liability company doing business as Theostack (“Theostack,” “we,” “us,” or “our”). These Terms govern your access to and use of the Theostack platform at app.theostack.com, our marketing site at theostack.com, and all related services (collectively, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian who agrees to these Terms on your behalf.
By using the Service, you represent that you meet these requirements and that the information you provide is accurate.
2. Account Registration
To access the Service, you must create an account using a valid email address. We use passwordless authentication (magic link). You are responsible for maintaining access to the email account associated with your Theostack account.
You are responsible for all activity that occurs under your account. If you believe your account has been compromised, contact us immediately at hello@theostack.com.
You may not create more than one individual account. You may not share your account credentials with others. You may not transfer your account to another person without our written consent.
3. Subscription Plans and Billing
3.1 Plans and Pricing
Theostack offers the following subscription tiers:
- Subscriber: $9 per month or $79 per year
- Premium: $19 per month or $169 per year
- Church (Organization): $399 per year for 5 seats, with additional seats available at $59 per year each
Plan features, limits, and pricing are described on our Pricing page and may be updated from time to time. Changes to pricing will not affect your current billing period.
3.2 Free Trial
New individual accounts receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must select a paid plan to continue using the Service. We will never charge you automatically without your explicit consent.
3.3 Billing and Payment
All payments are processed through Stripe. By subscribing to a paid plan, you authorize Stripe to charge your selected payment method on a recurring basis according to your chosen billing cycle (monthly or annual). You agree to keep your payment information current.
3.4 Plan Changes
You may upgrade your plan at any time. Upgrades take effect immediately, and we will prorate the cost for the remainder of your current billing period. Downgrades from annual to monthly billing take effect at the end of your current annual term.
3.5 Cancellation and Refunds
You may cancel your subscription at any time through the Stripe Customer Portal or by contacting us. Upon cancellation:
- Monthly subscribers: Access continues through the end of the current paid month.
- Annual subscribers: Access continues through the end of the current paid year.
- No refunds are provided for partial billing periods on annual plans.
3.6 Organization (Church Plan) Billing
Church plan billing is annual only. The organization administrator is the sole billing contact. Additional seats are prorated for the remainder of the billing period when added. Seat reductions take effect at the next renewal. The organization administrator is responsible for all charges associated with the organization account.
4. Use of the Service
4.1 Permitted Use
Theostack is a theological research and sermon preparation tool designed for pastors, ministry leaders, and church staff. You may use the Service for personal study, sermon preparation, teaching preparation, counseling reference, and other ministry-related purposes.
4.2 Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems and infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
- Scrape, crawl, or use automated tools to extract data from the Service, including the theological library.
- Redistribute, republish, or commercially exploit content from the curated theological library outside of the Service.
- Use the Service to build a competing product or service.
- Upload content that is unlawful, defamatory, obscene, or that infringes on the intellectual property rights of any third party.
- Circumvent or attempt to circumvent usage limits, rate limits, or access controls.
- Share your account credentials or allow others to access the Service through your account (organization member accounts excepted).
- Misrepresent your identity or affiliation.
We reserve the right to suspend or terminate your account for violations of these Terms, at our sole discretion.
5. AI-Generated Content
5.1 Nature of AI Responses
Theostack uses artificial intelligence to generate responses to your queries. AI-generated content is produced by third-party language models drawing on our curated theological library and, where applicable, your uploaded documents.
5.2 No Substitute for Pastoral Judgment
AI-generated responses are provided as research aids and starting points, not as authoritative theological conclusions. You are solely responsible for evaluating, verifying, and applying any information provided by the Service. Theostack does not replace pastoral training, denominational accountability, or the leading of the Holy Spirit.
5.3 Citation and Attribution
Theostack is designed to cite sources from the curated library when generating responses. While we strive for accurate attribution, AI systems can produce errors, including incorrect citations or misattributed content. You should verify citations against original sources before relying on them in published or public-facing work.
5.4 No Guarantees of Accuracy
We do not warrant that AI-generated content is accurate, complete, theologically sound, or free of error. The Service is a tool to assist your research, not a guarantee of correctness.
6. Intellectual Property
6.1 Our Intellectual Property
The Theostack platform, including its design, code, user interface, branding, and curated theological library organization, is the intellectual property of Lordhill Digital LLC. The curated library contains works that may be in the public domain, licensed for inclusion, or presented as Theostack-generated companion research documents. The selection, arrangement, and presentation of the library are proprietary.
You may not copy, modify, distribute, or create derivative works based on the Service or its components, except as expressly permitted by these Terms.
6.2 Your Content
You retain ownership of all content you create, upload, or input into the Service, including your conversations, uploaded documents, and Project contents (“Your Content”).
By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely for the purpose of providing and improving the Service. This includes sending Your Content to third-party AI providers for processing and indexing Your Content to enable search functionality.
We will not use Your Content for advertising, sell it to third parties, or use it to train AI models.
6.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, worldwide license to use that feedback for any purpose, including improving the Service, without obligation to you.
7. Organization-Specific Terms
If you create or join an organization (Church plan), the following additional terms apply:
7.1 Organization Administration
Each organization has a single administrator. The administrator is responsible for managing membership, configuring the organization's theological profile, and managing billing. Administration is transferable to another organization member.
7.2 No Dual Subscriptions
A user may be on an individual plan or a member of an organization, but not both simultaneously. If an individual subscriber upgrades to create an organization, their individual subscription is canceled with proration.
7.3 Member Removal
When the administrator removes a member from the organization, that member's personal content associated with the organization (personal Projects, conversations, uploaded files) is permanently deleted. Contributions the member made to shared organization Projects are retained. The removed member may create a new individual account after removal.
7.4 Organization Data
The administrator can view aggregate usage statistics for members (message count, last active date, assistants used, storage consumed) but cannot view personal conversation content, personal Project contents, or individual chat history of other members.
8. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy for details on how we collect, use, and protect your information.
9. Third-Party Services
The Service relies on third-party providers for AI processing, payment (Stripe), cloud infrastructure, search, and email delivery. Your use of the Service may be subject to the terms and policies of these providers. We are not responsible for the practices, availability, or performance of third-party services, though we select providers with care and monitor their data handling commitments.
10. Availability and Modifications
10.1 Service Availability
We strive to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Modifications to the Service
We reserve the right to modify, update, or discontinue any feature of the Service at any time. If we make changes that materially reduce the functionality of your current plan, we will provide reasonable notice. We will not reduce the features of your plan mid-billing-cycle without offering a prorated refund or equivalent accommodation.
10.3 Modifications to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- AI-generated content will be accurate, complete, or theologically sound.
- The curated library is exhaustive or free of errors.
- The Service will meet your specific requirements.
12. Limitation of Liability
To the fullest extent permitted by law, Lordhill Digital LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
- Loss of data, revenue, or profits.
- Errors or inaccuracies in AI-generated content.
- Theological or pastoral decisions made in reliance on the Service.
- Unauthorized access to or alteration of your data.
- Any interruption or cessation of the Service.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless Lordhill Digital LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Content you upload or input into the Service.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.
14.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming or, at the election of the claimant, by videoconference. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
14.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
14.4 Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights. Claims within the jurisdiction of small claims court may also be brought in such court.
14.5 Informal Resolution
Before initiating arbitration, you agree to first contact us at hello@theostack.com and attempt to resolve the dispute informally for at least 30 days.
15. Termination
15.1 By You
You may terminate your account at any time by canceling your subscription and contacting us at hello@theostack.com to request account deletion. Cancellation and deletion are governed by Section 3.5 and our Privacy Policy.
15.2 By Us
We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms. In cases of material violation, we may terminate without prior notice. If we terminate your account without cause, we will provide a prorated refund for any prepaid but unused subscription period.
15.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately (or at the end of your paid period, in the case of voluntary cancellation). We will delete your data in accordance with our Privacy Policy.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lordhill Digital LLC regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
16.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
